Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and the Idently team ("Idently", "we", "us"), governing your access to and use of our website and services (the "Service"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy.

1. Eligibility & accounts

You must be at least 16 (or the age of digital consent where you live) and able to form a binding contract. Provide accurate information, keep your credentials secure, and you are responsible for all activity under your account. Tell us promptly of any unauthorised use.

2. Acceptable use

You agree not to:

  • break the law or infringe others' rights, or publish deceptive, harmful, hateful or illegal content;
  • impersonate any person or organisation, or misrepresent your affiliation;
  • abuse, probe, overload or disrupt the Service, or bypass usage limits, quotas or security;
  • send spam, harvest data unlawfully, or use the Service to distribute malware;
  • resell or provide the Service to third parties except as expressly permitted (e.g. team seats).

We may remove content or suspend/terminate accounts that violate these Terms.

3. Your content & licence

You retain ownership of the content you add (profiles, cards, images, contacts). You grant us a worldwide, non-exclusive licence to host, process, reproduce and display that content solely to operate and improve the Service — for example, rendering the cards you publish. You are responsible for your content and confirm you have the rights to use it. Content you publish is public by design.

4. Our intellectual property

The Service, including its software, design, templates and branding, is owned by us or our licensors and protected by law. We grant you a limited, revocable, non-transferable licence to use the Service under these Terms; no other rights are granted.

5. Plans, billing, renewals & refunds

Paid plans are billed in advance on a recurring (monthly) basis through our payment processor and renew automatically until cancelled. You can cancel any time; cancellation stops future renewals and takes effect at the end of the current billing period, with no further charges. Prices may change on renewal with prior notice. Except where required by law, fees are non-refundable and partial periods are not pro-rated.

6. Physical products & printables

Where enabled, printed/physical card orders may be fulfilled by third-party print/ship partners and are subject to their timelines. Self-serve printable PDFs are provided for you to print yourself; print quality on your equipment is your responsibility.

7. Third-party services

The Service integrates third-party providers (e.g. payments, email, storage, analytics) and may link to third-party sites. We are not responsible for third-party services, and your use of them may be subject to their terms.

8. Availability & changes

We work to keep the Service available but provide it "as is" and "as available" without warranties of any kind, to the extent permitted by law. We may add, change, suspend or discontinue features, and we may update these Terms; material changes will be posted here with a new date and continued use constitutes acceptance.

9. Disclaimers

To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement, and do not warrant that the Service will be uninterrupted, error-free or secure.

10. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, data or goodwill. Our total liability for any claim is limited to the greater of the amount you paid us in the 12 months before the claim or USD 100.

11. Indemnification

You agree to indemnify and hold us harmless from claims and expenses arising out of your content, your use of the Service, or your violation of these Terms or others' rights, to the extent permitted by law.

12. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate access for violations of these Terms, risk to the Service or others, or to comply with law. On termination, the licences you granted for published content end, subject to backups and legal retention.

13. Disputes

If something goes wrong, contact us first — we'll try to resolve it informally and in good faith. If you are a consumer, you keep the benefit of any mandatory protections and courts of the country where you live; nothing in these Terms takes those away.

14. General

If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale. These Terms and the Privacy Policy are the entire agreement between us.
